Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of Touchstone, an idea validation and venture development service provided by Rick Musial trading as Digital Venture Studio (ABN 72 820 742 115), of 7 Wandoo Street, O'Connor ACT 2602, Australia ("we", "us", "our", "Digital Venture Studio").

Touchstone is accessible at https://usetouchstone.ai (the "Service").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.


2. Definitions

In these Terms:

  • "Account" means the user account you create to access the Service.
  • "Content" means the documents, scores, verdicts, audio briefings, and other outputs generated by the Service from your inputs.
  • "Inputs" means the information you provide to the Service, including business ideas, founder profile data, evidence, and uploaded files.
  • "Tier" means your access level on the Service. The current options are Explorer (free) and a one-time per-venture purchase that unlocks the full document suite for that venture. "Founder Pass", "Founder Plus", and "Studio" are legacy monthly plans, closed to new customers and retained only for existing accounts.

3. Eligibility and Accounts

You must be at least 18 years old to use Touchstone. By creating an Account, you confirm you are 18 or older and have the legal capacity to enter into these Terms.

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your Account
  • Notifying us promptly of any unauthorised access at support@usetouchstone.ai

We reserve the right to suspend or terminate Accounts that breach these Terms, are used for unlawful purposes, or are inactive for an extended period.


4. The Service

Touchstone provides:

  • AI-assisted idea validation through a structured intake and scoring process
  • A Go / No-Go verdict on a business idea, delivered with reasoning and dimension scores
  • With a venture purchase: the complete document suite for that venture — Vision, Brand Guidelines, Product Requirements, Build Guide, Marketing Plan, Business Case, Build Checklist, and Activity Tracker
  • A mentor relationship via in-product chat, audio briefings, and (where available) a voice support agent

The Service is provided "as is" — see the disclaimers in Section 13.

The Service is a tool, not professional advice. The verdict, scores, and documents Touchstone produces are generated assessments. They do not constitute legal, financial, accounting, or investment advice. You are responsible for your own business decisions.


5. Pricing and Payment

5.1 What we offer

  • Explorer — Free. Idea generation, scoring, the deep analysis, and the Go / No-Go verdict. No documents generated. You can save your results with your email.
  • Venture Validation + Suite — USD $149, a one-time purchase per venture. Unlocks the Chairman's Reveal and the complete eight-document suite for that venture (Vision, Brand Guidelines, PRD, Build Guide, Marketing Plan, Business Case, Build Checklist, and 30-Day Activity Tracker), together with the refinement and reassessment features for that venture. It is a one-time charge for that venture — not a subscription, and there is no recurring billing.

Prices are in US Dollars. Australian and other international users are billed in USD; your card issuer applies the prevailing exchange rate.

A continuing "Chairman relationship" (ongoing accountability after the verdict) may be offered in future. It is not sold today — you can join a waitlist, and you will not be charged unless and until you choose to subscribe once it is available.

Legacy plans. Touchstone previously offered monthly subscriptions ("Founder Pass", "Founder Plus", "Studio"). These are closed to new customers. If you hold one of these plans from the beta period, it continues under the terms you signed up to until you cancel or it lapses; you may cancel at any time from your Account settings, effective at the end of the current billing period.

5.2 Billing

A venture purchase is a one-time charge. Payments are processed by Stripe. We do not store your full card details — Stripe holds them under their own terms and PCI-compliant infrastructure. Any legacy monthly subscription renews automatically until cancelled.

5.3 What you keep

Documents and content generated for a venture you have purchased remain accessible to your Account. You paid for them; you keep them — except where a purchase is refunded under Section 6, in which case access to that venture's paid documents is withdrawn.


6. Refunds

7-day money-back guarantee. If you purchase a venture and it does not deliver value for you, email us at support@usetouchstone.ai within 7 days of the purchase and we will refund it. When a purchase is refunded, access to that venture's paid documents is withdrawn — the free Explorer verdict and your saved results remain.

We also offer the free Explorer tier so you can see the verdict and Touchstone's reasoning before you pay.

Legacy monthly subscriptions are non-refundable once a billing period begins; you can cancel any time and access remains active until the end of the current period.

Nothing in this section limits your rights under the Australian Consumer Law. If you believe a service we provided was not delivered with reasonable care and skill, was not fit for its purpose, or did not match its description, contact us at support@usetouchstone.ai and we will work with you in good faith to resolve the matter.


7. Your Inputs and Generated Content

7.1 You own your business idea

The business idea you bring to Touchstone, the inputs you provide, and the venture you choose to pursue are entirely yours. We claim no ownership over your business idea or any venture you build.

7.2 You own the generated documents

The documents Touchstone generates from your inputs (Vision, Brand Guidelines, PRD, Build Guide, Marketing Plan, Business Case, Build Checklist, Activity Tracker) are yours to use, share, modify, and commercialise as you see fit. There is no royalty, no attribution requirement, no use restriction.

7.3 What we own

We own the Touchstone platform itself — the software, the assessment methodology, the document templates, the Chairman voice and brand identity, the underlying prompts, and any aggregate or anonymised data we derive from operating the Service.

7.4 Our right to use anonymised data

You agree that we may use information derived from your Inputs and generated Content in anonymised, aggregated form to improve the Service, train internal models, and produce industry intelligence. We will not publish or sell anything that identifies you or your specific business idea without your express consent.

7.5 Your licence to us

By using the Service, you grant us a non-exclusive, worldwide, royalty-free licence to process your Inputs for the purpose of operating the Service and generating Content for you. This licence is limited to what is required to deliver the Service to you and ends when you close your Account, except for the anonymised-data right described in section 7.4 which survives.


8. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose, or to evaluate ventures that are unlawful in your jurisdiction
  • Submit Inputs you do not have the right to submit (for example, confidential information belonging to a third party without their permission)
  • Attempt to reverse-engineer, scrape, or replicate the Service's methodology, prompts, or document templates
  • Resell, sublicense, or rebrand the Service or any generated Content as your own validation product
  • Use automated tools to abuse rate limits, generate fake Accounts, or otherwise interfere with normal operation
  • Upload malicious code, attempt to compromise security, or breach the privacy of other users

Breach of this section may result in suspension or termination of your Account without refund.


9. Privacy

Your use of the Service is also governed by our Privacy Policy. The Privacy Policy explains what data we collect, how we use it, who we share it with, and your rights.


10. Termination

You can terminate your Account at any time by asking us to delete it (and, if you hold a legacy subscription, cancelling it from your Account settings).

We may terminate or suspend your Account if you breach these Terms, if your Account is used for unlawful purposes, or if we are required to do so by law. Where reasonable, we will give notice and an opportunity to resolve the issue before termination.

On termination:

  • You retain ownership of your business idea and any generated Content (subject to the anonymised-data right in section 7.4)
  • We will, on request, provide you a copy of your data in a portable format within a reasonable period
  • Unpaid fees for the current billing period remain payable
  • Sections 7, 13, 14, 16, and 17 survive termination

11. Service Availability

We aim to keep the Service available 24/7 but do not guarantee uninterrupted availability. We may perform maintenance, updates, or fixes that temporarily affect access. Where reasonable, we will provide advance notice for planned downtime.

The Service depends on third-party providers (see Privacy Policy). Outages or changes by those providers may affect the Service.


12. Changes to the Service and to These Terms

We may modify the Service over time — adding features, changing tiers, or retiring features. Material changes affecting your existing tier (for example, a price change or removal of an included feature) will be communicated to you with at least 30 days' notice before they take effect, giving you the opportunity to cancel before any change applies.

We may update these Terms from time to time. Material changes will be communicated by email and through the Service. Continued use of the Service after the effective date of an update constitutes acceptance of the updated Terms.


13. Disclaimers and Australian Consumer Law

To the maximum extent permitted by law, the Service is provided "as is" and "as available". We make no warranty that:

  • The Service will meet your specific requirements
  • The Service will be uninterrupted, timely, secure, or error-free
  • The verdicts, scores, or generated documents will result in business success, funding, or any specific outcome
  • Any business idea, market analysis, or financial projection generated by the Service is accurate, complete, or appropriate for your specific circumstances

Australian Consumer Law. If you are a "consumer" within the meaning of the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)), nothing in these Terms excludes, restricts, or modifies the consumer guarantees that apply to you under that law. Where a consumer guarantee applies and we are entitled by law to limit our liability for breach, our liability is limited (at our option) to the supply of the services again or the payment of the cost of having the services supplied again.


14. Limitation of Liability

To the maximum extent permitted by law, Digital Venture Studio's total liability to you arising out of or in connection with these Terms or your use of the Service is limited to the greater of (a) AUD $200, or (b) the fees you paid to us in the 12 months immediately preceding the event giving rise to the claim.

We are not liable for:

  • Indirect, consequential, special, or punitive damages
  • Lost profits, lost revenue, lost business opportunities, or lost data
  • Decisions you make based on Touchstone's verdicts, scores, or generated documents
  • Acts or omissions of third-party service providers (Supabase, Stripe, Anthropic, ElevenLabs, Resend, Vapi, Twilio, and others)

This limitation applies regardless of the legal basis for the claim, including contract, tort (including negligence), statute, or otherwise.

The limitations in this section do not apply to liability that cannot be excluded under applicable law (including the Australian Consumer Law).


15. Indemnity

You agree to indemnify and hold us harmless from any claim, loss, or expense (including reasonable legal fees) arising from:

  • Your breach of these Terms
  • Your Inputs (including any Inputs that infringe a third party's rights)
  • Your use of the generated Content in connection with your business
  • Your unlawful or unauthorised use of the Service

16. Governing Law and Jurisdiction

These Terms are governed by the laws of the Australian Capital Territory, Australia. You submit to the exclusive jurisdiction of the courts of the Australian Capital Territory and the Federal Court of Australia for the resolution of any dispute arising out of these Terms or your use of the Service.


17. General

Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service.

Severability. If any part of these Terms is found unenforceable, the remainder continues in full force.

No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.

Assignment. You may not assign these Terms without our written consent. We may assign these Terms in connection with a sale, merger, or restructure of Digital Venture Studio.

Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control, including natural disasters, internet or infrastructure outages, government action, or third-party provider failures.
